SMS — SCHOOL MANAGEMENT SYSTEM

Document owner: Servizora Technologies Limited
Product: SMS – School Management System
Status: Draft for legal review and approval
Last updated: 13th October, 2026
Effective date: 13th October, 2026

1. Acceptance of these Terms

These Terms and Conditions (“Terms”) govern access to and use of SMS — School Management System (“SMS”, the “Platform” or the “Service”), a school-management technology product owned by Servizora Technologies Limited (“Servizora”, “we”, “us” or “our”).

By accessing or using SMS, creating an account, or accepting a customer proposal or agreement that incorporates these Terms, you agree to be bound by the provisions applicable to your role and use of the Service.

If you are accessing SMS on behalf of a school or another organisation, you represent that you have the authority to act on its behalf. The school or organisation will be responsible for the commitments it validly accepts.

If you do not agree to the applicable Terms, you must not use the Service.

Where a separately signed customer agreement, subscription agreement, statement of work or Data Processing Agreement contains a provision that conflicts with these Terms, the signed agreement will take precedence to the extent of the conflict, as permitted by law.

2. Identity and ownership

SMS is a product of Servizora Technologies Limited and is not represented by these Terms as a separate legal entity.

Legal owner and contracting entity: Servizora Technologies Limited.

Registered address: #9 Harmony Close, Omachi Estate Rumuodomaya, Port Harcourt

Official contact: support@sms.servizora.com

Any applicable customer agreement or commercial proposal should identify the contracting parties and the particular Service being supplied.

3. Definitions

For these Terms:

  • Account means an authorised account used to access SMS.
  • Customer means a school or organisation that purchases or is authorised to use the Service.
  • Authorised User means an individual permitted to access SMS under an approved role or invitation.
  • School Data means information submitted to or generated through the Service for a school’s operations, including personal data.
  • Personal Data has the meaning assigned by applicable data-protection law.
  • Subscription means a recurring right to use the relevant Service for a defined period.
  • Implementation Services means agreed onboarding, configuration, migration, deployment, training or related services.
  • Third-Party Services means infrastructure, communication, payment or other services provided by independent providers.
  • Documentation means user guides, instructions and other materials made available for the Service.

4. Description and scope of the Service

SMS is designed to support school-management and operational workflows.

Depending on the version, deployment and commercial agreement, the Service may include functionality for:

  • School and academic administration.
  • Student, parent and guardian management.
  • Staff records and role administration.
  • Attendance and academic management.
  • Assessment, examination and results.
  • Fee administration and financial records.
  • Parent or student portals.
  • Notifications and communications.
  • Reporting and management information.
  • Related implementation, hosting, support or integration services.

Not every listed capability is necessarily available in every deployment or subscription.

The applicable quotation, order, proposal, service description or signed agreement determines the functionality, service scope and commercial commitments purchased by the Customer.

We will not treat proposed roadmap features, demonstrations, prototypes or future capabilities as contractual commitments unless expressly included in an applicable agreement.

5. Eligibility and authority

Customers must have the legal capacity and authority to enter into the applicable agreement.

A school administrator may invite or authorise users only within the scope of the administrator’s permissions and the school’s legitimate authority.

Users must provide accurate information where required and must not misrepresent their identity, role, relationship with a student or authority to access school records.

Access to student and parent information must be based on a legitimate relationship, appropriate authorisation and applicable law.

6. Account registration and security

Customers and Authorised Users must:

  1. Provide accurate account information.
  2. Protect login credentials and authentication methods.
  3. Avoid sharing accounts where individual accounts are required.
  4. Notify the appropriate school administrator or Servizora contact of suspected compromise.
  5. Use the permissions assigned to their roles.
  6. Avoid attempting to bypass security or access controls.
  7. Ensure that access is removed when a user’s authority ends.

The Customer is responsible for managing its users, reviewing permissions and promptly revoking unnecessary access.

Servizora may suspend or restrict an account where reasonably necessary to protect security, investigate suspected misuse, comply with law or prevent material harm, subject to applicable contractual and legal obligations.

Account security does not remove Servizora’s own responsibilities to implement and maintain appropriate security controls.

7. School responsibilities

Each Customer is responsible for the lawful and authorised use of SMS within its organisation.

The Customer must:

  • Establish an appropriate lawful basis for processing personal data.
  • Provide required privacy notices and other information to affected individuals.
  • Obtain consent or other authorisation where legally required.
  • Ensure that data entered into the Platform is accurate and appropriately collected.
  • Maintain suitable user roles and access permissions.
  • Protect administrative credentials.
  • Ensure that staff use the Platform within their authorised responsibilities.
  • Maintain appropriate procedures for approving and correcting official academic and financial records.
  • Comply with applicable education, employment, tax, financial and data-protection requirements.
  • Maintain any records that must legally be retained outside the Service.
  • Notify Servizora of relevant incidents and operational concerns.

The Customer must not instruct Servizora to process data unlawfully or require the Service to be used for an unauthorised purpose.

8. Acceptable use

Users must use SMS lawfully and for authorised purposes.

Users must not:

  • Access another school’s data without authorisation.
  • Attempt to bypass authentication, permissions or tenant separation.
  • Introduce malicious software, harmful code or unauthorised scripts.
  • Probe, scan or test system vulnerabilities without written authorisation.
  • Interfere with the availability or security of the Service.
  • Use the Platform to commit fraud or other unlawful acts.
  • Upload data they have no right to use.
  • Disclose student, parent, staff or financial information to unauthorised recipients.
  • Falsify academic results, payment records, attendance or other official information.
  • Use another person’s account without authority.
  • Reverse engineer or copy protected elements of the Service except to the extent permitted by applicable law.
  • Resell, sublicense or commercially exploit the Service without written permission.
  • Use SMS to send unlawful, deceptive, harassing or unauthorised bulk communications.
  • Circumvent subscription limits, technical restrictions or agreed usage limits.

A breach may result in access restriction, suspension, termination or other lawful remedies, depending on its severity and the applicable agreement.

9. Customer data and intellectual property

The Customer retains its rights in School Data, subject to the rights of individuals whose personal data appears in those records and any other applicable legal rights.

The Customer grants Servizora the limited rights necessary to host, process, transmit, back up, display and otherwise handle School Data to provide the contracted Service and perform applicable legal and contractual obligations.

This permission does not transfer ownership of School Data to Servizora.

Servizora retains its rights in the SMS software, platform architecture, source code, interface designs, documentation, branding, product materials, reusable components and other intellectual property that it owns or is authorised to use.

Except where expressly agreed in writing or permitted by law, the Customer receives a limited, non-exclusive, non-transferable right to use the purchased Service for its authorised internal school operations during the applicable service period.

No ownership of Servizora’s underlying software or intellectual property is transferred by a subscription, implementation payment or ordinary use of SMS.

Customer logos, trademarks and other materials remain subject to their respective owners’ rights.

10. School Data and data-processing arrangements

The Customer is responsible for determining the purposes for which it collects and uses School Data.

Where Servizora processes personal data on the Customer’s behalf, the parties must comply with applicable data-protection law and the applicable Data Processing Agreement.

The parties should document their respective responsibilities concerning:

  • Processing instructions and purposes.
  • Confidentiality.
  • Security measures.
  • Authorised personnel and access controls.
  • Subprocessors.
  • Data-subject requests.
  • Personal data breaches.
  • International transfers.
  • Retention, return and deletion.
  • Regulatory cooperation.

Nothing in these Terms authorises Servizora to use School Data for unrelated purposes merely because the data is stored in SMS.

The Customer must not submit data that it is not legally authorised to disclose or process through the Service.

11. Implementation, onboarding and migration

Where purchased, Implementation Services may include school configuration, account setup, data import, training, deployment and related activities.

The applicable proposal or statement of work should identify:

  • The agreed scope.
  • Customer responsibilities.
  • Required source data and access.
  • Fees and payment milestones.
  • Timelines and dependencies.
  • Testing and acceptance criteria.
  • Exclusions and assumptions.
  • Any applicable support arrangements.

The Customer must provide accurate source data and the access reasonably required for the agreed implementation.

Data migration is subject to the quality, structure, completeness and accessibility of the source data. Unless expressly agreed otherwise, Servizora does not guarantee that inaccurate or incomplete source records can be transformed into perfectly accurate records.

Material migration exceptions should be documented and reconciled through an agreed process.

Neither party should treat a deployment as accepted solely because software code has been produced. Acceptance should follow the applicable agreed criteria.

12. Fees, subscriptions and payments

The Customer must pay the fees stated in its approved quotation, order or applicable agreement.

Depending on the commercial arrangement, charges may include:

  • Implementation or onboarding fees.
  • Monthly or annual subscriptions.
  • Hosting or infrastructure charges.
  • Support services.
  • Communication usage.
  • Premium modules or integrations.
  • Separately scoped custom development.

The applicable commercial document determines which charges apply, when they are due and what is included.

Unless expressly stated otherwise, a subscription does not automatically include unlimited third-party communication usage, unlimited custom development or services excluded from the agreed package.

Taxes and other applicable statutory charges will be handled as required by law and the applicable agreement.

Where a payment is made through a third-party provider, its transaction-processing terms may also apply.

13. Renewals, suspension and non-payment

Where a subscription is renewable, its renewal date, renewal method and applicable charges must be stated in the relevant commercial agreement or renewal notice.

Where payment is overdue, Servizora may issue a notice and apply the remedies permitted by the agreement and applicable law.

Any suspension for non-payment should follow the agreed notice and remedy process, taking account of operational impact, applicable law and the need to protect School Data.

Suspension must not be treated as permission to disclose, misuse or improperly destroy customer information.

The parties should agree in advance how access, data export, outstanding charges and service restoration will be handled when a subscription expires or is suspended.

14. Changes to the Service

Servizora may maintain, improve, modify or discontinue parts of the Service as reasonably required for security, reliability, legal compliance, technical maintenance or product development.

We will seek to communicate material changes that affect contracted functionality in accordance with the applicable agreement.

Where a proposed change materially reduces a specifically contracted capability, the parties should apply the remedies and change-control procedures in the applicable agreement.

A general product roadmap does not guarantee that every proposed feature will be released.

15. Availability, maintenance and support

SMS depends on software, hosting infrastructure, networks and potentially third-party providers.

Temporary interruptions may arise from maintenance, faults, network conditions, security incidents, infrastructure failures or third-party outages.

Support availability, response targets, resolution targets, maintenance windows, service credits and uptime commitments apply only where expressly included in the relevant agreement or approved service-level agreement.

These Terms do not establish a guaranteed uptime percentage or response time where none has been formally agreed.

Servizora will handle support requests in accordance with the support arrangements applicable to the Customer.

16. Data accuracy and official school records

The Customer remains responsible for the accuracy and proper approval of information entered into SMS.

Where supported, the Platform may provide controls for editing, approving, reporting or recording changes to school records.

The Customer must establish appropriate procedures for:

  • Academic result entry and approval.
  • Corrections to student information.
  • Fee adjustments and reconciliations.
  • Attendance corrections.
  • User access reviews.
  • Other official school records.

The existence of software controls does not remove the need for appropriate human review and governance.

The Customer must report suspected data corruption, unauthorised modification or material inconsistencies promptly.

17. Backups and recovery

Backup frequency, retention, recovery objectives and restoration commitments depend on the actual deployment and applicable agreement.

Where included, backup and recovery services will be provided according to the documented arrangements for that Service.

Customers remain responsible for maintaining any additional records and independent copies that they are legally required or have separately agreed to maintain.

A backup does not guarantee that every record can be recovered from every incident. Recovery capability depends on the backup design, integrity, timing and nature of the failure.

18. Third-party services and integrations

SMS may rely on third-party services for hosting, communications, payment processing, email delivery or other functionality.

Those providers may be subject to separate terms and privacy notices.

The applicable agreement should identify material dependencies and clarify whether third-party services are included in the subscription, separately charged or procured directly by the Customer.

Servizora is not responsible for an independent provider’s acts or omissions to the extent that responsibility may lawfully be excluded. This provision does not exclude liability that cannot legally be excluded or any responsibility Servizora has for its own obligations.

An integration must not be assumed to be available merely because it appears on a future product roadmap.

19. Confidentiality

Each party must take reasonable measures to protect confidential information received from the other party and use it only for authorised purposes.

Confidential information may include non-public school records, commercial terms, technical documentation, credentials, security information and business information.

A party may disclose confidential information where required by law, provided that any applicable legal requirements and reasonable protective measures are observed.

Confidentiality obligations do not override lawful data-subject rights, mandatory reporting obligations or other legal duties.

20. Privacy and personal data

Use of SMS is also governed by the applicable Privacy Policy and Data Processing Agreement.

Customers must provide appropriate notices to students, parents, guardians and staff where required and must ensure that their instructions to Servizora are lawful.

Servizora and each Customer must comply with the responsibilities applicable to their respective data-processing roles.

Nothing in these Terms limits a person’s rights under applicable data-protection law.

21. Suspension and termination

Access or a customer agreement may be suspended or terminated in accordance with its terms.

Grounds may include:

  • Material breach of the agreement.
  • Unlawful use of the Service.
  • Serious security risks or unauthorised access.
  • Failure to pay amounts due after the applicable notice and remedy process.
  • Expiry or non-renewal of a subscription.
  • Insolvency or other grounds specified in the applicable agreement.
  • A legal or regulatory requirement.

Where appropriate, the affected party should receive notice and a reasonable opportunity to remedy the breach, subject to the urgency of the risk and applicable law.

Termination does not remove accrued payment obligations or provisions intended to survive termination.

22. Data export and exit assistance

When a customer relationship ends, the parties will follow the applicable agreement and documented data-exit process.

Subject to applicable law, technical feasibility and the agreed scope, the process should address:

  • Authorised requests for data export.
  • Verification of the requesting party.
  • Available export formats.
  • Any applicable exit-assistance fees disclosed in advance.
  • Delivery security and confidentiality.
  • The timing of access removal.
  • Retention and deletion of active records and backups.
  • Records that must be retained for lawful reasons.

The Customer should request any required export before the applicable contractual deadline.

Servizora must not use this clause to defeat mandatory data-protection rights or lawful data-portability obligations.

23. Warranties and service limitations

The Service will be provided in accordance with the applicable customer agreement and mandatory law.

Unless expressly agreed otherwise, no representation is made that every feature, integration or future capability will be available in every deployment.

The Customer acknowledges that software may experience defects, interruptions and technical limitations.

Servizora will not exclude or limit any warranty, representation or obligation that cannot lawfully be excluded or limited.

Where an applicable agreement provides specific warranties, service levels or remedies, those provisions will apply according to their terms.

24. Limitation of liability

To the extent permitted by applicable law, each party’s liability will be determined under the applicable customer agreement and the circumstances of the relevant claim.

Any agreed liability cap, exclusion of indirect loss or limitation of remedies must be expressly stated in the relevant commercial agreement and drafted consistently with Nigerian law.

Nothing in these Terms is intended to exclude liability for fraud, deliberate unlawful conduct or any other liability that cannot legally be excluded or restricted.

A general disclaimer must not be interpreted as removing statutory rights or excusing a party from obligations imposed by applicable law.

25. Indemnity

Where an applicable customer agreement provides for indemnity, the scope, exclusions, procedure and limitations of that indemnity will be governed by the agreement.

No party is automatically required by these general Terms to indemnify another for every loss, claim or expense. Any indemnity must be expressly agreed, appropriately scoped and enforceable under applicable law.

26. Intellectual property protection

Customers and users must respect the intellectual property rights associated with SMS and third-party materials.

Nothing in these Terms grants a licence beyond the rights expressly provided.

Unauthorised copying, distribution, resale, reverse engineering or exploitation may result in suspension, termination or lawful enforcement action, subject to applicable law.

Any customer-specific development, assignment of rights or licence to bespoke deliverables must be addressed expressly in the relevant statement of work or agreement.

27. Force majeure

Neither party will be liable for a delay or failure caused by circumstances beyond its reasonable control, to the extent recognised by applicable law and the relevant agreement.

Such circumstances may include natural disasters, widespread network failures, war, civil unrest, government restrictions or major infrastructure disruptions.

The affected party should notify the other where reasonably practicable and take reasonable steps to mitigate the impact.

This provision does not automatically excuse payment obligations already accrued or obligations that cannot lawfully be suspended.

28. Complaints and dispute resolution

The parties should first seek to resolve disputes through good-faith communication between their authorised representatives.

Where appropriate, the applicable agreement may establish escalation procedures, mediation or another lawful dispute-resolution process.

Nothing in these Terms prevents a party from seeking urgent relief where necessary or exercising a statutory right that cannot lawfully be restricted.

29. Governing law and jurisdiction

These Terms and the relevant contractual relationship will be governed by the laws of the Federal Republic of Nigeria, subject to applicable conflict-of-law principles and mandatory legal requirements.

The appropriate courts and any agreed dispute-resolution procedure should be specified in the applicable customer agreement after legal review.

Legal review required: Confirm the appropriate jurisdiction clause and any agreed dispute-resolution mechanism before publication.

30. Changes to these Terms

We may propose amendments to these Terms to reflect changes in the Service, commercial arrangements, legal requirements or operating procedures.

Where amendments materially affect an existing Customer’s contractual rights or obligations, notice and acceptance will be handled in accordance with the applicable agreement and law.

A revised version should identify its effective date and the changes made where appropriate.

Continued use will constitute acceptance of amended Terms only where that consequence is valid under the applicable agreement and law. Where express acceptance is required, it must be obtained.

31. General provisions

Severability: If a provision is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

No waiver: Failure to enforce a provision immediately does not automatically waive the right to enforce it later.

Assignment: Neither party may transfer its contractual rights or obligations except as permitted by the applicable agreement and law.

Entire agreement: The relevant customer agreement and documents expressly incorporated into it govern the contractual relationship. These Terms do not override a separately signed agreement where the applicable precedence rules provide otherwise.

No agency: These Terms do not create a partnership, employment relationship, joint venture or agency between the parties merely because the Service is used.

Survival: Provisions intended by their nature to survive termination, including applicable payment obligations, confidentiality, intellectual property, lawful data-retention duties and accrued rights, will survive to the extent provided by the agreement and law.
